Terms of Service
Effective date: 2 October 2026
These Terms of Service (“Terms”) govern your access to and use of https://www.clophy.com (the “Website”) and, as applicable, related services offered by Clophy (“Clophy”, “we”, “us”, or “our”).
By accessing or using the Website, submitting forms, booking a call, or engaging our services, you agree to be bound by these Terms. If you do not agree, you must not use the Website or our services.
These Terms should be read together with our Privacy Policy.
01.About Clophy
Clophy is a sole-trader business operated by Michaelangelo Agbodike, based in Luton, England. We design and implement operations automation systems and related digital services for small businesses, and publish founder content under Founder Line.
Contact: michael@clophy.com.
02.Eligibility and acceptable use
You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Website in any way that violates applicable law or regulation.
- Attempt to gain unauthorised access to the Website, related systems, or data.
- Interfere with or disrupt the integrity or performance of the Website.
- Transmit malware, spam, or other harmful material.
- Scrape, harvest, or systematically extract content except as permitted by law or with our prior written consent.
- Misrepresent your identity or affiliation when contacting us or submitting forms.
03.Website content
Content on the Website, including case studies, descriptions of systems, timelines, and Founder Line materials, is provided for general informational purposes. It does not constitute legal, financial, tax, or professional advice, and should not be relied upon as a guarantee of particular results.
Case studies describe outcomes for specific clients in their particular circumstances. Past results do not guarantee future performance for your business.
04.Enquiries, qualification, and bookings
You may contact us via the Website contact form, email, telephone, WhatsApp, or by completing our discovery-call qualification form (hosted by Tally). Submission of a form or booking request does not create a binding obligation on either party to enter into a paid engagement.
Discovery or assessment calls may be offered subject to qualification. We reserve the right to decline, reschedule, or cancel calls at our discretion. Booking tools (including Google Calendar) are provided by third parties and subject to their terms.
05.Services and statements of work
Paid services, deliverables, fees, timelines, and warranties (if any) will be set out in a separate proposal, statement of work, invoice, or written agreement between you and Clophy. In the event of conflict between these Terms and a signed service agreement, the service agreement prevails for that engagement.
Unless expressly agreed in writing, Website descriptions of packages, timeframes, or outcomes are illustrative only.
06.Third-party services and links
The Website may embed or link to third-party services, including Tally, Google Calendar, YouTube, LinkedIn, WhatsApp, and partner scheduling tools (such as CarePath360). We do not control those services and are not responsible for their content, availability, security, or practices.
Your use of third-party services is at your own risk and subject to those parties’ terms and privacy policies.
07.Intellectual property
Unless otherwise stated, the Website and its original content, branding, design, text, graphics, and software are owned by or licensed to Clophy and are protected by intellectual property laws.
You are granted a limited, non-exclusive, non-transferable licence to access and use the Website for personal or internal business information purposes. You may not copy, modify, distribute, sell, or create derivative works from our content without prior written permission, except for fair dealing or other rights that cannot be excluded by law.
Client deliverables and licence terms for custom systems or websites are governed by the applicable service agreement.
08.User submissions
If you submit information, feedback, or materials to us through the Website or related channels, you confirm that you have the right to provide them and that they do not infringe any third-party rights or applicable law.
You grant us a non-exclusive right to use submitted information as needed to respond to you and to provide our services. Testimonials or public case studies will only be published with appropriate permission where required.
09.Disclaimer of warranties
To the fullest extent permitted by law, the Website and its content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
We do not warrant that the Website will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
10.Limitation of liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
Subject to the preceding paragraph, to the fullest extent permitted by law: (a) Clophy shall not be liable for any indirect, incidental, special, consequential, or punitive loss, or for loss of profits, revenue, data, goodwill, or business opportunity, whether arising in contract, tort (including negligence), or otherwise; and (b) Clophy’s aggregate liability arising out of or in connection with your use of the Website shall not exceed one hundred pounds sterling (£100).
Liability in respect of paid services shall be as set out in the applicable service agreement, or if silent, limited to the fees paid for the specific services giving rise to the claim in the twelve (12) months preceding the claim.
11.Indemnity
You agree to indemnify and hold harmless Clophy and Michaelangelo Agbodike from and against claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to your misuse of the Website, your breach of these Terms, or your infringement of any third-party rights, except to the extent caused by our wilful misconduct.
12.Suspension and termination
We may suspend or restrict access to the Website, or refuse to process enquiries, where we reasonably believe you have breached these Terms or where necessary for security, legal, or operational reasons.
13.Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or the Website shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the Website, without prejudice to any mandatory consumer protections that may apply if you are contracting as a consumer.
14.Changes to these Terms
We may revise these Terms from time to time. The “Effective date” at the top of this page will be updated when changes are published. Continued use of the Website after changes take effect constitutes acceptance of the revised Terms, to the extent permitted by law.
15.General
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
These Terms constitute the entire agreement between you and Clophy regarding use of the Website, and supersede prior understandings relating solely to Website use, without affecting any separate written service agreement.
